These Terms & Conditions ("Terms") govern your access to and use of the Sprinta mobile application and website (together, the "Platform"), operated by KZM Global Ltd ("KZM Global", the "Company", "we", "our", or "us"), a limited liability company incorporated under the laws of the Republic of Ghana. By downloading, registering on, or using the Platform, you agree to be legally bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not use the Platform.

1. Definitions

      "Sender" means any individual or business that creates a delivery request through the Platform.

      "Driver" means an independent third-party delivery contractor who accepts delivery requests through the Platform.

      "Delivery Fee" means the fixed, system-generated fee displayed in the app for a specific delivery request.

      "Parcel" means the item or items tendered by a Sender for delivery through the Platform.

      "PCSRC" means the Postal and Courier Services Regulatory Commission of Ghana, established under the Postal and Courier Services Regulatory Commission Act, 2003 (Act 649).

      "User" means any person who accesses or uses the Platform, including Senders, recipients, and Drivers.

2. About Sprinta — Platform Status

Sprinta is a technology platform that connects Senders with independent, verified Drivers for parcel delivery services across Ghana.

      Technology intermediary only. Sprinta does not provide transport, courier, or logistics services itself and does not employ Drivers. Drivers act as independent third-party contractors. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between KZM Global and any User.

      Automated dispatch. The Platform operates an automated matching engine that assigns the nearest available, verified Driver to each request based on proximity, operational zones, and vehicle type.

      Fixed pricing — no bidding. Delivery Fees are strictly system-generated and fixed based on distance and operational parameters. No price negotiation, bidding, or off-app fee adjustment is permitted or recognised by the Platform.

3. Eligibility

To use the Platform you must: (a) be at least 18 years old; (b) have full legal capacity to enter into a binding contract under the laws of the Republic of Ghana; (c) provide accurate, current, and truthful registration information; and (d) not have been previously suspended or removed from the Platform. We may decline, condition, or verify any registration at our discretion, including through identity and document checks.

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity, bookings, and charges made through your account, whether or not authorised by you, until you notify us of unauthorised use. You must notify Sprinta immediately of any suspected unauthorised access. You may register only one account per person unless we approve otherwise in writing, and you may not transfer, sell, or share your account. We may suspend any account showing signs of compromise, fraud, or misuse pending investigation.

5. Sender Obligations (Consumer and Business)

Senders may create delivery requests and track assigned Drivers in real time. By creating a delivery request, the Sender agrees to:

      Pay the fixed Delivery Fee exclusively via Mobile Money (MoMo) or debit/credit card before Driver dispatch.

      Provide accurate and complete pickup and delivery details, recipient contact information, and parcel descriptions. The Sender bears sole responsibility for losses, delays, or failed deliveries caused by inaccurate or incomplete information.

      Package each Parcel securely and appropriately for its nature and for carriage by motorbike or vehicle. Sprinta and the Driver are not responsible for damage attributable to inadequate packaging.

      Warrant that the Sender owns the Parcel contents or is authorised to send them, and that the contents are accurately described and lawful.

      Ensure an authorised person is available at the delivery address. Where delivery cannot be completed for reasons attributable to the Sender or recipient, the Parcel may be returned and additional fees may apply.

6. Driver Obligations

Drivers are independent contractors and are not employees, agents, or representatives of KZM Global Ltd. Each Driver is solely and strictly responsible for:

      Holding a valid Ghanaian driver’s or rider’s licence and maintaining the roadworthiness, registration, and insurance of their vehicle or motorcycle as required by law.

      Complying with all transport, traffic, and road safety laws of Ghana, including the Road Traffic Act, 2004 (Act 683) and its regulations.

      Maintaining active registration on the Integrated Courier and Logistics Management System (iCOLMS-GH) portal and holding a valid PCSRC e-certificate at all times while active on the Platform.

      Handling Parcels with reasonable care, completing deliveries promptly, and treating Senders and recipients professionally.

      Their own tax, social security, and statutory obligations arising from their earnings.

Sprinta reserves the right to immediately suspend or terminate any Driver who fails to maintain regulatory compliance, whose documents expire or are found to be invalid, or who breaches these Terms.

7. Pricing Framework

Delivery Fees are system-generated, fixed, and non-negotiable. By confirming a delivery request, the Sender agrees to the fixed price displayed in the app; once the request is accepted, that price is final and binding for that transaction. Sprinta administers all billing algorithms and will not arbitrate, honour, or recognise any private pricing arrangement between Senders and Drivers. Any attempt to negotiate, solicit, or complete deliveries outside the Platform ("off-app deals") is a material breach of these Terms and grounds for immediate account termination for all parties involved.

8. Payments — 100% Cashless Policy

      Accepted methods. Sprinta accepts Mobile Money (MoMo) and authorised credit/debit card payments only. Payments are collected before Driver dispatch and are processed securely by third-party payment providers licensed by the Bank of Ghana. Sprinta does not store MoMo PINs, card numbers, CVVs, or other sensitive payment credentials.

      Strict no-cash policy. Physical cash transactions are prohibited on the Platform. Senders must not offer cash and Drivers must not demand or accept cash. Any off-app cash transaction is a material breach of these Terms and will result in immediate, permanent account deactivation for both parties. Sprinta accepts no liability whatsoever for parcels, funds, or losses connected with off-app cash transactions.

      Chargebacks and reversals. If an electronic payment is reversed, disputed, or charged back after a delivery has been completed or commenced, the Sender remains legally liable to KZM Global Ltd for the full Delivery Fee and any associated processing costs. The Sender’s account will be suspended until the debt is settled, and KZM Global reserves the right to recover outstanding amounts through lawful means, including debt recovery action. Fraudulent chargebacks may be reported to payment providers and law enforcement.

      Refunds and cancellations. A Sender may cancel a request before a Driver is dispatched for a full refund of the Delivery Fee. Once a Driver has been dispatched, a cancellation fee may be deducted to compensate the Driver’s time and travel. Refunds for failed deliveries attributable to Platform or Driver error will be processed to the original payment method within a reasonable period. Refunds are not available where the failure is attributable to the Sender or recipient (including inaccurate addresses, unavailability, or prohibited items). 9. Parcel Restrictions and Prohibited Items

Users must not send, and Drivers must refuse to transport, any item that is illegal, dangerous, or restricted under Ghanaian law or these Terms, including but not limited to:

      Narcotics, illegal drugs, or psychotropic substances.

      Firearms, ammunition, explosives, or weapons of any kind.

      Hazardous, flammable, corrosive, or unsecured chemical materials.

      Stolen property, counterfeit goods, contraband, or proceeds of crime.

      Cash, bearer instruments, and undeclared high-value items such as jewellery, bullion, or precious stones.

      Human or animal remains, live animals, and perishable or medical goods requiring controlled conditions (unless expressly supported by the Platform).

      Any item whose carriage would breach applicable law or regulation.

Sprinta and Drivers reserve the right to refuse, and to require reasonable inspection of, any Parcel suspected of containing prohibited items. Sprinta will report suspected illegal goods to law enforcement authorities immediately. The Sender bears full legal responsibility, and shall indemnify KZM Global and the Driver, for any loss, damage, penalty, or claim arising from a Parcel containing prohibited, undeclared, or misdeclared items. Sending a prohibited item results in immediate account termination.

10. Declared Value, Insurance, and Risk

      The Sender must accurately declare the nature and approximate value of each Parcel where prompted. Undeclared or misdeclared contents are sent entirely at the Sender’s risk.

      Unless expressly stated otherwise in writing by KZM Global, Parcels are not insured by Sprinta. Senders requiring insurance coverage should arrange it independently before shipment.

      Fragile, perishable, and time-sensitive items are carried at the Sender’s sole risk.

11. User Conduct and Anti-Abuse

You agree not to, and not to assist or permit any third party to:

      Use the Platform for any unlawful, fraudulent, or deceptive purpose, or provide false, misleading, or impersonated information.

      Harass, threaten, abuse, or discriminate against Drivers, Senders, recipients, or Sprinta personnel.

      Circumvent, manipulate, or abuse Platform payment flows, pricing, promotions, referral programmes, refunds, or rating systems, including by creating multiple or fake accounts, staging deliveries, or submitting false loss, damage, or non-delivery claims.

      Solicit or complete deliveries off-app with a Driver or Sender first identified through the Platform.

      Reverse engineer, decompile, scrape, data-mine, copy, or interfere with the Platform, its software, or its security features, or introduce malicious code.

      Use the Platform to send unsolicited communications or to collect other Users’ personal data.

Violations may result in immediate suspension or permanent termination, forfeiture of pending promotional credits obtained in breach of these Terms, recovery of losses caused, and referral to law enforcement where appropriate. Sprinta may withhold amounts otherwise payable to a User to offset losses directly caused by that User’s fraud or breach, to the extent permitted by law.

12. Ratings and Reviews

Users may submit honest, respectful ratings and reviews after a delivery. Reviews must not be defamatory, abusive, discriminatory, or fraudulent. Sprinta may moderate, remove, or decline to publish feedback that breaches these standards, and may use ratings data to maintain service quality, including deactivating accounts with sustained poor or abusive conduct.

13. Service Availability and Modifications

We aim to keep the Platform available at all times but do not guarantee uninterrupted, error-free, or secure access. The Platform may be unavailable due to maintenance, upgrades, network failures, or events beyond our reasonable control. We may modify, add, or discontinue features of the Platform at any time. Estimated pickup and delivery times shown in the app are estimates only and are not guaranteed.

14. Limitation of Liability

To the maximum extent permitted under the laws of the Republic of Ghana:

      Sprinta is a technology platform. KZM Global is not liable for parcel loss, delay, damage, or theft occurring during carriage performed by independent Drivers.

      KZM Global is not liable for the acts, omissions, negligence, or misconduct of Users or Drivers during service execution.

      KZM Global is not liable for personal injury, property damage, or delays caused by traffic, weather, road conditions, or events of force majeure.

      KZM Global is not liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, business, goodwill, or data.

      The Platform and website are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

      Where liability cannot be excluded, KZM Global’s total aggregate liability to any User in connection with a delivery shall not exceed the Delivery Fee paid for the specific transaction giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Ghanaian law, including liability for fraud.

15. Indemnification

You agree to indemnify, defend, and hold harmless KZM Global Ltd and its directors, officers, employees, and agents from and against any third-party claims, losses, liabilities, damages, penalties, fines, costs, and expenses (including reasonable legal fees) arising from or connected with: (a) your use or misuse of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law or regulation, including the shipment of prohibited or misdeclared items; or (d) your infringement of any third party’s rights.

16. Identity Verification, KYC and Anti-Money Laundering

Sprinta maintains identity verification and anti-financial-crime controls aligned with the Anti-Money Laundering Act, 2020 (Act 1044) and related Ghanaian regulatory guidance:

      Driver verification. All Drivers must complete identity verification before activation, including presentation of a Ghana Card (or Non-Citizen Ghana Card) verified against official records, a valid driver’s or rider’s licence, and PCSRC credentials. Sprinta may require re-verification, including biometric or liveness checks, at any time.

      User verification. Sprinta may require any Sender or business account holder to complete identity or business verification (including Ghana Card or business registration checks) where required for fraud prevention, risk management, or compliance with applicable law. Accounts may be restricted until verification is completed.

      Payment-level KYC. Payments are processed by Bank of Ghana–licensed providers, which apply their own statutory KYC and AML controls. Users must use payment instruments registered in their own name; using another person’s Mobile Money wallet or card without authority is prohibited.

      Anti-money-laundering. The Platform must not be used to transport cash or bearer instruments, launder proceeds of crime, structure transactions, or evade financial regulations. Sprinta monitors for suspicious activity and will cooperate fully with the Financial Intelligence Centre, law enforcement, and regulators, including by reporting suspicious transactions and preserving related records as required by law.

Providing false identity information, or refusing verification reasonably required under this Section, is grounds for suspension or termination.

17. Data Protection

Sprinta processes personal data strictly in accordance with the Data Protection Act, 2012 (Act 843) and our Privacy Policy, available on the Platform. By using the Platform, you acknowledge the processing of your personal data as described in the Privacy Policy.

18. Suspension and Termination

Sprinta may temporarily suspend or permanently terminate any account, with or without prior notice, where: (a) these Terms are breached; (b) fraudulent, abusive, or unlawful activity is suspected on reasonable grounds; (c) required by a Ghanaian regulatory or law-enforcement authority; or (d) a Driver’s regulatory credentials lapse or are revoked. Where practicable, we will notify you of the reason for suspension. A User may seek review of a suspension or termination by writing to support@sprinta.app within 14 days; Sprinta will review the decision in good faith, and its determination following review is final. Termination does not relieve a User of payment obligations or liabilities accrued before termination. You may stop using the Platform and close your account at any time.

19. Intellectual Property

All content, branding, trademarks, trade names, logos, software, source code, application interfaces, designs, and databases related to Sprinta are the exclusive property of KZM Global Ltd or its licensors and are protected under the laws of Ghana and international intellectual property treaties. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the app and website for their intended purpose only. No other right or licence is granted. Unauthorised copying, modification, distribution, or commercial exploitation of any part of the Platform is strictly prohibited.

20. Electronic Transactions (Act 772)

In accordance with the Electronic Transactions Act, 2008 (Act 772), you agree that electronic communications, records, signatures, and agreements created or executed within the Platform are legally valid, binding, and enforceable, and that delivery confirmations, in-app notifications, and electronic receipts constitute valid records of the transactions to which they relate.

21. Dispute Resolution

We are committed to resolving disputes fairly and efficiently:

      Step 1 — Internal resolution. Contact Sprinta support first. We will acknowledge complaints promptly and use reasonable efforts to resolve them within 14 days.

      Step 2 — Amicable settlement. If a dispute is not resolved through support, the parties shall attempt in good faith to settle it through negotiation or mediation.

      Step 3 — Arbitration or courts. Any dispute not resolved amicably may, at either party’s election, be referred to arbitration in Accra under the Alternative Dispute Resolution Act, 2010 (Act 798), or brought before the competent courts of Ghana. This clause does not limit any party’s statutory rights, including the right to complain to the PCSRC or the Data Protection Commission.

22. Force Majeure

KZM Global shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, epidemics, war, civil unrest, strikes, fuel shortages, power or telecommunications failures, government action, or failures of third-party networks or payment systems. Obligations are suspended for the duration of the event, and we will use reasonable efforts to resume performance promptly.

23. General Provisions

      Entire agreement. These Terms, together with the Privacy Policy and any policies referenced in them, constitute the entire agreement between you and KZM Global regarding the Platform.

      Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

      No waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.

      Assignment. You may not assign or transfer your rights under these Terms. KZM Global may assign its rights and obligations in connection with a merger, acquisition, or sale of assets.

      Survival. Provisions concerning payments owed, prohibited items, liability, indemnification, intellectual property, dispute resolution, and governing law survive termination.

      Notices. We may give notices via the app, email, SMS, or the website. Legal notices to KZM Global must be sent in writing to the registered office address in Section 26.

24. Changes to These Terms

We may amend these Terms from time to time. Material changes will be notified through the app, our website, or other electronic channels before they take effect, together with the updated "Last Updated" date. Your continued use of the Platform after the effective date constitutes acceptance of the amended Terms. If you do not agree to a change, you must stop using the Platform.

25. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. Subject to Section 21 (Dispute Resolution), any dispute arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the competent courts of Ghana.
